We are a blank check company led by women and focused on improving access to public financing for companies that are founded by, led by or enrich the lives of women (“Women-Forward Companies”). We were formed as a Delaware corporation for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar transaction with one or more businesses. Throughout this prospectus, we will refer to this as our initial business combination. Perella Weinberg Partners, a leading, global independent advisory firm, is an indirect investor in our sponsor. We intend to focus our search on Women-Forward Companies that would benefit from the expertise of our officers, directors and advisory board members. As a Women-Forward Company ourselves, we believe that we can serve as a like-minded partner for the Women-Forward Companies that we target, providing us with an advantage in the market for those businesses. While we may pursue an initial business combination in any industry or geographic location (subject to certain limitations described in this prospectus), we have not selected any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target.
